1. Agreement to these terms

These Terms of Service (“Terms”) form a binding agreement between you and Vortex Esports Inc(“Vortex,” “we,” “us,” or “our”) when you access or use our website at vortexesportsinc.com, related subdomains, member sign-in flows, Discord community spaces we operate, and any other digital properties we publish (collectively, the “Services”).

By creating a member account, browsing the site, submitting a careers application, or purchasing merchandise linked from our storefront, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under 18, you represent that you have permission from a parent or legal guardian. Some features, including roster trials, staff applications, or paid merchandise checkout, may require you to be 18 or older or to meet additional eligibility criteria we communicate separately.

You may not use the Services if you are barred from doing so under applicable law or if we have previously suspended or terminated your access for a violation of these Terms.

3. Member accounts

Certain features, including member profiles, event access, and personalized site experiences, require an account. Accounts are provided through our authentication partner, Clerk. You are responsible for:

• Providing accurate registration information and keeping it current
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly if you suspect unauthorized access

We may suspend or terminate accounts that appear fraudulent, impersonate another person or organization, or violate these Terms or our community standards.

4. Acceptable use

When using the Services, you agree not to:

• Harass, threaten, dox, or discriminate against players, creators, staff, or fans
• Post or share unlawful, defamatory, obscene, or infringing content
• Attempt to probe, scan, or test the vulnerability of our systems without authorization
• Scrape, crawl, or harvest data from the Services except as permitted by robots.txt or our written consent
• Misrepresent your affiliation with Vortex Esports Inc or our rosters
• Use the Services to distribute malware, spam, or deceptive promotions

Community conduct on Discord, Twitch chat, social platforms, and in-person events linked from our site is also subject to the rules of those platforms and to Vortex community guidelines communicated by our staff and moderators.

5. Esports, creators, and community participation

Information on our site about rosters, trials, creators, match schedules, and community events is provided for informational purposes. Participation in competitive programs, creator activations, or staff roles may require separate agreements, NDAs, or team policies.

Submitting a careers or roster application does not guarantee selection, employment, or roster placement. We may modify programming, rosters, and event formats at any time.

6. Merchandise and checkout

Official Vortex merchandise displayed on our site is fulfilled through Fourthwall, a third-party commerce platform. When you add items to cart and proceed to checkout, you are redirected to Fourthwall’s secure checkout flow. Product availability, pricing, taxes, shipping, returns, and payment processing are handled under Fourthwall’s terms and policies in addition to these Terms.

Vortex Esports Inc is not responsible for fulfillment delays, carrier issues, or payment processor errors outside our reasonable control, but we will work in good faith to help resolve order questions routed through our support channels.

7. Intellectual property

The Vortex name, logos, brand assets, site design, editorial content, roster photography, and original media on the Services are owned by Vortex Esports Inc or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may share links to our pages and embed official streams or posts where the underlying platform allows it. You may not copy, modify, sell, or create derivative works from our branding or site content without prior written permission, except where fair use or platform licenses clearly permit it.

Game titles, publisher marks, and third-party trademarks referenced on the site belong to their respective owners. Vortex Esports Inc is not endorsed by or affiliated with game publishers unless we expressly state otherwise.

8. Third-party services and links

The Services integrate with or link to third parties including Clerk (authentication), Fourthwall (merchandise), Twitch and other social platforms, Discord, and analytics or hosting providers. Those services are governed by their own terms and privacy practices. We are not responsible for third-party sites, embeds, or policies.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VORTEX ESPORTS INC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS.

Live stream status, roster listings, and schedule information may be delayed or inaccurate. Do not rely on the Services as the sole source for time-sensitive competitive decisions.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VORTEX ESPORTS INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, PLAYERS, AND CREATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO VORTEX ESPORTS INC THROUGH OUR DIRECT SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Vortex Esports Inc from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate access to the Services at any time, with or without notice, for conduct we believe violates these Terms, creates risk for the community, or harms Vortex Esports Inc. You may stop using the Services at any time. Sections that by their nature should survive termination will remain in effect.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise. Any dispute shall be brought in the state or federal courts located in Delaware, unless applicable law requires a different venue.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes may also be announced on the site or in our Discord community. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
